Job Summary:

We are seeking a highly motivated and experienced Legal and Compliance Assistant Manager / Manager to join our team. The ideal candidate will be responsible for ensuring that our company adheres to legal standards and in-house policies. You will be responsible for enforcing regulations in all aspects and levels of business as well as provide guidance on compliance matters. A great Legal and Compliance Manager is well-versed in legal guidelines and corporate governance best practices. They are professionals of high ethical standards and work diligently to complete their duties keeping in mind the objectives of the business.


Role and Responsibilities

·        Knowledge on legal drafting

·        Preparation of major contracts, agreements, transfer agreement, supplementary agreement, negotiation and nomination agreement, term sheet, memorandum of understanding, memorandum of articles.

·        Managing government authorities, negotiation with the clients & customers.

·        Updating Policies and Procedures. Advise legal requirements to staff.

·        Review laws, amendments and support Management with external statutory bodies, auditors, legal counsel/law.

·        Corporate and secretarial compliances, basic understanding of FEMA is an added advantage

·        The job holder is responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks and always work towards protecting business interest.

·        Commercial and legal opinions and recommend measures to mitigate.

·        Handle all corporate and secretarial compliances for the corporate entity, including all filings with regulatory and government bodies.

·        Prepare necessary documents for calling, conducting, holding and documenting minutes of the Board, its committees and Members- meetings.

·        Ensure good governance and assist with corporate activities like risk assessment, operating a vigil mechanism.

·        Study laws applicable to the business operations and drive compliance through compliance systems of the company.

·        Collaborate with various teams for ensuring compliance of laws applicable to business operations.

·        Trade Marking

·        Agreement Drafting

·        Handle compliance & regulatory affairs, including inspections, compliance notices, and enforcement of laws

·        Corporate Compliances including board meetings, shareholder meetings, AGM, annual filing

·        FEMA Compliance, other related compliance

·        Maintenance of statutory register

·        Fund raise activity experience

·        Drafting/Reviewing of Contracts/MOUs

·        Other compliance related work

·        PF and labour laws


Qualifications and Education Requirements

·        Degree in Law is mandatory with 3-5 years of experience.

·        Candidates with experience in working with startups will be preferred.

·        You should have worked with business leaders directly, and functionally have experience in compliance, legal and secretarial work.
